(“Sentry”).  Sentry and its affiliated companies offer a range of websites, portals and other online services, including https://www.sentrymgt.com/ website (the “Website”) and our CommunityPro® Portal (collectively, the “Services”). References to “We,” “our,” “us” or “Sentry” refer to Sentry Management, Inc., our affiliated companies, and our collective online Services. References to “You” or “your” means and refers to you and your status as a visitor to or user of the Services.

USE OF THE SERVICES AND ACCEPTANCE OF TERMS.

Please carefully review the terms of use for each of our Services (“Terms of Use”) and the terms and conditions of our Privacy Policy available at https://www.sentrymgt.com/privacy-policy-and-data-security-for-homeowners-information/, before using or accessing any of our Services. These Terms of Use contain important information regarding use of and access to our Services, your obligations, legal rights and remedies, as well as various limitations and exclusions. PLEASE READ THE FOLLOWING TERMS AND CONDITIONS CAREFULLY BEFORE USING OR ACCESSING ANY OF THE SERVICES. BY USING OR ACCESSING OUR ONLINE SERVICES, YOU ARE AGREEING TO BE BOUND BY AND ACKNOWLEDGE YOUR ACCEPTANCE OF THESE TERMS OF USE.

If you do not agree to be bound by these Terms of Use, or if you do not agree with our Privacy Policy, please do not use or access the Services offered through our Website, the CommunityPro® Portal or any other software, tools, portals or Services we may provide. By browsing, submitting information to, accessing materials, information or the Services, registering for an account or otherwise using the Services, including without limit the CommunityPro® Portal, you acknowledge and agree to be bound by and comply with these Terms of Use.

From time to time, we may update these Terms of Use, our Privacy Policy and other terms and conditions that may govern your access or use of the Services including our Website, CommunityPro® Portal or other software, tools, portals or Services we may provide. For significant changes to these Terms of Use, we will notify you by posting a prominent notice on our Website indicating at the bottom of the Terms of Use when it was most recently updated or by other means of notification.  As such, we encourage you to please check the Terms of Use periodically for material changes. You agree to be bound by all the provisions of these Terms of Use that are displayed on the Website or with the applicable Service on the date you use the Service. Your continued use of any of our Services indicates your acceptance of all of the provisions of these Terms of Use that are displayed on the Website on the date of such use.

COMMUNITYPRO® PORTAL ACCOUNTS.

User Accounts.

If you are accessing the CommunityPro® Portal as an authorized end user (“End User”) in any of the following roles: (i) as an employee of Sentry (“Employee Users”); (ii) as a board member (“Board Member Users”) on behalf of an association that has entered into a Management Agreement with us (an “Association Client”); (iii) as a homeowner owning property in an association (or an authorized agent of such homeowner) (“Homeowner Users”) where the association has entered into a Management Agreement with us; (iv) as a Community web admin (“CWA” or “Community Web Admin User”); or (v) as a third party vendor or professional (“Vendor Users”), your use and access of the Services is subject to the Sentry End User License Agreement (“EULA”) which you are required to agree to in order to access and use the Service.  You can review and access the EULA when you log-in to the CommunityPro® Portal, or other applicable Service or when your account is registered by Sentry and your credentials are provided to you. The EULA provisions applicable to your End User role, and where it is shared with you or otherwise posted, will vary based on your End User role. The EULA is hereby incorporated by reference into these Terms of Use. All End Users must also comply with Sentry’s CommunityPro® Portal Software as a Service (SaaS) Terms and Conditions which are available at COMMUNITYPRO PORTAL SOFTWARE AS A SERVICE TERMS AND CONDITIONS – HOA Management Company (sentrymgt.com) (“SaaS Terms and Conditions”).

Management Agreement

All Sentry Association Clients are subject to the terms and conditions set forth and agreed to in a separate management agreement (“Management Agreement”) entered into by and between Sentry and the Association Client. Sentry Association Clients are responsible for the Board Member Users and Community Web Admin Users that are provided access to the CommunityPro® Portal through and subject to the Association Client’s Management Agreement. Sentry’s provision of the CommunityPro® Portal for use and access by an Association Client and its Board Member Users and Community Web Admin Users is subject to the Association Client’s agreement with Sentry’s SaaS Terms and Conditions.

Account Registration.

In order to use and take advantage of certain of the Services or access certain Materials, you may be permitted or required to register an account with our CommunityPro® Portal. Certain End Users will be provided credentials directly by us. You are not required to register an account with our CommunityPro® Portal, however, certain Services and Materials will not be available if you elect not to register an account. You agree that any information you provide and maintain is accurate, current and complete, including your contact information for notices and other communications from us. You agree not to impersonate or misrepresent your affiliation with any person or entity when using or accessing the CommunityPro® Portal. You agree to only use the username and password you have been authorized to use. You agree that we may take steps to verify the accuracy of information you provide and identity of any user.

Passwords and Security.

You agree that you will not share your CommunityPro® Portal account or account information with any person you have not authorized to access your account. You are responsible for taking reasonable steps to maintain the confidentiality of your username and password, and you are responsible for all activities under your account that you can reasonably control. You agree to promptly notify us of any unauthorized use of your username, password or other account information, or of any other breach of security that you become aware of involving your account.

MATERIALS AVAILABLE THROUGH THE WEBSITE AND SERVICES.

Depending on the role of a user or type of account that End Users register for, and/or the types of Services being accessed or utilized by a user, a user may have access to various types of content, materials and tools through the Website and Services, including but not limited to, Third-party Materials, Association Materials, Resale Materials and/or Sentry-owned Content and Materials as such terms are individually defined below (collectively referred to herein as “Materials”).

Sentry and its suppliers and licensors may make available such Materials through the Website and other Services. The Materials are provided solely for educational and informational purposes. The Materials may contain errors in facts or information from time to time. Before you act in reliance on any facts or information in any Materials, you should confirm any facts that are important to your decision. Sentry makes no representations or warranties as to the reliability, accuracy, timeliness, usefulness, or completeness of any Materials or any facts, content, information or data contained therein.

Sentry is not responsible for, and has no control over, the content of any such Association Materials, Third-party Materials or Resale Materials that may be provided or accessible through our Services. You understand that Sentry cannot, and does not, guarantee or warrant that the Materials, from any source, that are available for access or downloading through this Website or the Services are or will be free of errors or defects, contain complete and accurate information or are or will be free of infection, viruses, worms, Trojan horses or other code or defects that contain or incorporate contaminating or destructive properties.

Association Materials.

The Website and Services contain materials provided by or related to Association Clients of Sentry and the End Users, individuals, communities, associations and other organizations that the Associate Clients control and/or manage, such as, but not limited to, board meeting agendas, meeting minutes, board resolutions, and other records (“Association Materials”). Association Clients are responsible for providing certain of the Association Materials to Sentry during the initial account set-up process of the Association account. Association Materials may be made available to certain End Users depending on the type of User access provided and authorized. For instance, Board Member Users may have access to certain financial documents through the Board Room CommunityPro® Portal that Homeowner Users will not have access to in the homeowner CommunityPro® Portal.

Permitted Use of Association Materials. End Users shall have the right to use these Association Materials solely for use in connection with their registered End User role, in accordance with their fiduciary duties (when applicable) and for business and institutional purposes of the Association. These Association Materials may not be sold, licensed, leased or used to create derivative works except as expressly permitted in writing by Sentry.

Third-party Materials.

The Website and Services contain certain downloadable materials provided by outside third-parties and vendors, such as, but not limited to, HOA Bylaws and Condominium restrictive covenants (“Third-party Materials”).

Permitted Use of Third-Party Materials. End Users shall have the right to use these Third-party Materials solely for use in connection with their registered End User role and for business and institutional purposes. These Third-party Materials may not be sold, licensed, leased or used to create derivative works except as expressly permitted in writing by Sentry.

Resale Materials.

Users can purchase certain materials, such as, but not limited to, mortgage questionnaires, estoppel certificates, resale demand certificates, and trustee letters (“Resale Materials”) through Sentry’s third-party Vendor or through Sentry’s Website depending on the state in which you are seeking information. By purchasing Resale Materials, you represent and warrant to Sentry that you: (i) have the right to purchase and obtain such Resale Materials; (ii) have a legitimate business interest in accessing the Resale Materials; (iii) will not misuse or publish without authorization information from the Resale Materials; and (iv) will use the Resale Materials only in connection the transaction for which you have been authorized to access the Resale Materials.

Permitted Use of Resale Materials. Sentry retains no right to control the use of the Resale Materials, following the sale of such Resale Materials. All restrictions and limitations on your right to use or further distribute or sell the Resale Materials shall be governed by the copyright and applicable laws, regulations, and ordinances, and your continued use of the Resale Materials in accordance with the representations and warranties set forth above.

Sentry-owned Content and Materials.

The Website and Services contain certain materials and content developed by Sentry that are available for downloading and use by users, such as, but not limited to, Community Builder Newsletters and Disaster preparedness checklist. These materials are posted publicly on Sentry’s Website and are available for use by users for personal use only. Other Sentry-owned content that is available to certain registered users of the CommunityPro® Portal, including, but not limited to, board education and training materials, and other documents related to certain associations are available for use by users in connection with their registered End User role, and personal, business and institutional purposes.

Community Web Admin Users and Board Member Users shall have access to additional Sentry-owned Content and Materials that may be accessed and used by Community Web Admin Users and Board Member Users for carrying out their registered End User role and for business and institutional purposes only. All of the foregoing content is collective referred to as “Sentry-owned Content and Materials” and all use of such content that is displayed or available to access through the CommunityPro® Portal shall be governed by the End User License Agreement, applicable to the registered End User.

RESTRICTIONS ON USE.

You acknowledge that this Website, the Services, the Materials and any underlying technology used in connection with this Website and/or the Services, including all software, material, information, graphics, animations, audio, video, photos, and other data, available on this Website or through the Services provided by Sentry, its licensors, vendors or approved third-party providers, are the copyrighted works of Sentry or such third parties. Except for the permitted uses expressly stated above, you may not use, copy, distribute, republish, resell, upload, post or transmit any Materials without the prior written consent of Sentry. Modification of the Materials for any purpose may violate Sentry, or a third party’s intellectual property rights. The Materials provided on the Website and through the Services are provided for use in accordance with the permitted uses set forth above and lawful purposes only.

In the event that a user ceases to operate in their role as a Board Member User, Community Web Admin User, Employee User, Homeowner User or Vendor User, such user agrees to cease all access and use of their CommunityPro® Portal account and shall return, destroy or discontinue all further use of the Materials accessed through their CommunityPro® Portal account, accept as otherwise permitted herein.

USER SUBMISSIONS.

All personally identifiable information, including, but not limited to, first name, last name, mailing address, email address and telephone number (collectively “PII”) and content, designs, ideas, graphics, or other information that you send to us or otherwise make available through this Website or the Services (together, the “Submissions”), is and remains your property. Sentry’s practices relating to the use and protection of any PII provided to Sentry through the Website are detailed in Sentry’s Privacy Policy (as described below). You consent to Sentry’s collection, use, storage and transmission of such Submissions, including any PII, for Sentry’s Business Purposes and activities (as such terms are defined in our Privacy Policy).

By sending, commenting, reviewing, uploading, posting or otherwise making available any Submissions, you automatically represent and warrant you have rights as owner of the Submissions to grant to Sentry the required permission and license for use of such Submissions, and you do hereby grant to Sentry a perpetual, royalty-free, fully-paid up, non-exclusive right and license to use, reproduce, modify, publish, distribute, perform, display, store, disclose consistent with the terms of the Privacy Policy, and transmit the Submissions through the Website and/or the Services, for any and all commercial and non-commercial purposes. You acknowledge that you are responsible for all Submissions that you submit, and you, not Sentry, have full responsibility for the Submissions, including their legality, reliability, appropriateness, originality, and/or copyright. You further agree that you will not, directly or indirectly, make any defamatory comments or remarks, as defined by law, about Sentry or any of its employees in any user Submissions.

Any Submission posted to the public facing and publicly accessible portions of the Website or other publicly accessible Services will be deemed to have been provided as not being confidential information and treated as NOT CONFIDENTIAL. By posting a Submission, you represent and warrant that you own or otherwise control all of the rights to your Submission as described in these Terms of Use including, without limitation, all the rights necessary for you to provide, post, upload, input or submit your Submissions. Any Submissions made by a registered End User into their CommunityPro® Portal account or otherwise submitted or posting in another Services that include PII, such as revisions by a Homeowner User to their account profile, are not generally made publicly available to all users, but certain  registered users including Employee Users, Board Member Users and Community Web Admin Users will be able to access such information. Please consider this in providing information and Submissions.

In addition to the representations and warranties set forth above, by posting a Submission, you represent and warrant that: (a) the Submission is an original work and you are the copyright owner of your Submission or you have all required licenses and permission of the copyright owner(S) of the Submission an all content therein, to provide, present and use the copyrighted work in the manner of use, display or performance on our Website, the CommunityPro® Portal and with our other Services, and (b) you currently possess and hold all rights necessary to grant the licenses and permissions to Sentry, End Users and others, described in these Terms of Use or otherwise necessary for the purposed use thereof. You acknowledge that Sentry is not responsible for the accuracy, content or message of any Submissions. All Submissions, whether publicly posted or privately transmitted, are the sole responsibility of the End User, Association or persons from whom such Submissions originated or were supplied to and through our Services. This means that you, and not Sentry, are entirely responsible for all Submissions that you post or provide to the Website and Services.

SECURITY MEASURES.

Sentry has taken reasonable and appropriate steps and has employed industry-standard practices and technology to ensure the integrity and confidentiality of personally identifiable information (PII); but because even the most secure computer system can be violated, Sentry cannot guarantee absolute security. IMPORTANT: Please keep in mind that whenever you voluntarily disclose information about yourself in the public domain, it is likely to be collected and used by third parties. These third parties may use your information to contact you or for unauthorized purposes. Also, please remember that no one can guarantee the absolute security of information transmitted electronically.

OBLIGATIONS OF VISITORS.

You agree not to do any of the following while visiting or using the Website or any Services provided by or through the Website or pertaining to the Website or Services:

•           restrict or inhibit any other authorized user from using, accessing or enjoying the Website or the Services;

•           impersonate any person or entity or falsely state or otherwise misrepresent your professional or other affiliation with any person or entity or indicate that you are an employee or representative of Sentry when you are not;

•           post, transmit, upload or otherwise introduce into our Services unlawful, offensive, threatening, abusive, libelous, false, defamatory, obscene, vulgar, pornographic, profane or indecent information, Submissions or content of any kind, including, without limitation, any images or other material depicting nudity, obscenity or other prohibited or unlawful content or actions;

•           post, transmit, or introduce Submissions, comments or material containing harassing or offensive language or engage in disruptive activities online or into our Services;

•           post, transmit or introduce into our Services any information, software or Submissions which contains a virus, Trojan horse, worm or other harmful component;

•           post, transmit or introduce any unsolicited advertising, promotional materials, “junk mail,” “spam,” “chain letters” or any other form of solicitation on the Website or through the Website or the Services;

•           post, upload or transmit any material or Submissions that is or contains content, information or data that is fraudulent or violates or infringes the proprietary or other rights or privacy of others, including material that violates privacy rights or publicity rights, or infringes copyright, trademark or other intellectual property and/or proprietary rights;

TERMINATION.

You may discontinue your participation in and access to the Website or Services at any time. Unless agreed to otherwise between Sentry and user, you acknowledge and agree that Sentry may terminate, suspend or block your or your authorized agents, or any End Users accessing the Services, using of all or part of the Website and/or the Services, or undertaking transactions through the Services, without prior notice and for any reason or no reason at all subject to a specific written agreement Sentry and an Association in a separate written Management Agreement. You agree that upon termination, suspension, barring from or discontinuance of use or access to the Services for any reason, Sentry may delete all information related to you on the Website or Services and may bar your access to the Website and/or your use of the Services, subject to express agreements for an Association in a separate Management Agreement.

INTELLECTUAL PROPERTY.

The Website and Services and certain of the Materials displayed on or through the Website and Services, including but not limited to certain of the Association Materials, Resale Materials, Third-party Materials and Sentry-owned Content and Materials are protected by copyright, trademark, and other intellectual property and laws of the United States or other applicable states, provinces countries, territories or jurisdictions. Sentry, its licensors, third-party vendors and other applicable third-party content owners exclusively own all right, title and interest in and to the Website, Services and Materials and any content that may be available, downloaded or purchased, including but not limited to, the Resale Materials, Association Materials, Third-party Materials and Sentry-owned Content Materials, including all related and associated intellectual property rights.

GENERAL TERMS AND CONDITIONS.

These Terms of Use will be governed and interpreted in accordance with the laws of the State of Florida, United States of America, notwithstanding any principles of conflicts of law. If any party institutes a lawsuit or other action or proceeding pertaining to these Terms of Use, any right or obligation of any party hereunder, or any breach of these Terms of Use, then the sole and exclusive venue and jurisdiction for filing and maintaining any such lawsuit or other action or proceeding shall be in the Courts sitting in Seminole County, Florida or the U.S. Middle District of Florida and each party waives the right to institute or maintain any such suit, action or proceeding in any other courts or forums whatsoever.

By using the Website and/or Services, you consent and submit yourself to the personal jurisdiction of such court. You agree that in the event of a breach by you of any provision of these Terms of Use, Sentry shall be entitled to seek and obtain injunctive or other equitable relief, or both, in each case without the requirement to post any bond or other form of security, and without such act constituting an election of remedies or disentitling Sentry to each and every remedy available at law or in equity for a breach of this agreement by you.
