COMMUNITYPRO® PORTAL END User License AGREEMENT “EULA”

NOTICE TO END USER: PLEASE READ THIS END USER LICENSE AGREEMENT (“EULA”) CAREFULLY BEFORE ACCESSING OR USING THE COMMUNITYPRO® PORTAL (“PORTAL”) AND ANY MATERIALS OFFERED OR PROVIDED THROUGH THE PORTAL. THIS EULA GOVERNS ALL USE OR ACCESS TO THE PORTAL AND ANY MATERIALS AVAILABLE THROUGH THE PORTAL AND FORMS A LEGALLY BINDING AGREEMENT BETWEEN SENTRY MANAGEMENT, INC. (“SENTRY”) AND YOU, THE END USER OF THE PORTAL.

BY CLICKING “I AGREE” THE END USER ACKNOWLEDGES THAT END USER HAS READ AND UNDERSTANDS THIS EULA AND THAT END USER IS BOUND BY THE TERMS AND CONDITIONS OF THIS EULA. IF END USER DOES NOT AGREE TO ALL OF THE TERMS AND CONDITIONS OF THIS EULA, THEN END USER IS NOT AUTHORIZED TO ACCESS OR USE THE PORTAL AND END USER SHALL IMMEDIATELY CEASE ACCESSING AND USING THE PORTAL.

1)   User Accounts. If you are accessing the CommunityPro® Portal as an authorized end user (“End User”), your use of the Services is subject to the terms and conditions of this EULA and Sentry’s Privacy Policy and Terms of Use available at SENTRY MANAGEMENT, INC. TERMS OF USE – HOA Management Company (sentrymgt.com), which are hereby incorporated by reference. You may qualify as an End User in one of the following roles: (i) as an employee of Sentry (“Employee Users”); (ii) as a board member (“Board Member Users”) on behalf of an association that has entered into a Management Agreement with Sentry (an “Association Client”); (iii) as a homeowner owning property in an association (or an authorized agent of such homeowner) (“Homeowner Users”) where the association has entered into a Management Agreement with Sentry; (iv) as a Community web admin (“CWA” or “Community Web Admin User”); or (v) as a third party vendor, professional, or other individual or entity accessing the Portal on behalf of, or at the request of an Association or Sentry (“Vendor Users”).

2)  Right to Access and Use Portal; Username and Password.

a)       Right to Access and Use. Subject to the terms of this EULA, Sentry grants to End User, and End User accepts a right and limited, non-exclusive license to electronically access and use the Portal from a tablet, laptop, desktop computer, or other mobile device or handheld device, (each, an “End User Device”) of End User subject to and in accordance with the terms and conditions of this EULA (“Right to Access and Use”) and subject to rights and limitations for different End User roles as described in this EULA, the Terms of Use and in other applicable documentation or agreements provided or required by Sentry for use or access to the Portal.

b)       Right to Access and Use by Association Users. Board Member Users, Community Web Admin Users and Vendor Users accessing the Portal on behalf of, or at the request of an Association (collectively, the “Association Users”), shall use the Portal solely for the limited and express purposes for which such Association Users were authorized by the Association and Association Users shall not transfer the Right to Access and Use to any other person or user. Access and use of the Portal by Association Users is further governed by the CommunityPro® Portal SaaS terms and conditions (“SaaS Terms and Conditions”), all applicable Community Web Admin and Vendor User authorization forms submitted by the Association Client to Sentry (“Authorization Forms”), as well as a management agreement entered into by and between the Association Client and Sentry (“Management Agreement”). The SaaS Terms and Conditions are available for review at COMMUNITYPRO PORTAL SOFTWARE AS A SERVICE TERMS AND CONDITIONS – HOA Management Company (sentrymgt.com), but such SaaS Terms and Conditions may be modified in a particular agreement between Sentry and an Association Client. Association Users shall be responsible for complying with the terms and conditions of this EULA, Sentry’s Privacy Policy, Sentry’s Terms of Use, the SaaS Terms and Conditions and all applicable terms of the Management Agreement and Authorization Form. The term of the Right to Access and Use shall be begin on the date of acceptance of this EULA and extend for the duration of the Association User’s authorized use of the Portal in accordance with this EULA, Authorization Form, the SaaS Terms and Conditions, and the Management Agreement subject to earlier termination or suspension by Sentry. Sentry may suspend or terminate the Association User’s Right to Access and Use at any time and for any reason, without notice to the Association User. The Right to Access and Use shall automatically terminate, without notice to the Association User, if the Association User fails to comply with any of the terms and conditions of this EULA, Authorization Form or the SaaS Terms and Conditions. Further, upon termination of the relationship, role or agreement of the Association User with the Association that enables the Association User’s access to the Portal, this Right to Access shall immediately terminate without further action required by Sentry.  Upon termination of the Right to Access and Use, the Association User shall immediately cease all access and use of the Portal.

c)       Right to Access and Use by Homeowner Users. Homeowner Users shall use the Portal solely for the purposes for which such Homeowner Users have been instructed and authorized by Sentry, Association Client or other individual or entity authorized to request such Homeowner User to utilize the Portal. Homeowner Users shall be responsible for complying with the terms and conditions of this EULA, Sentry’s Privacy Policy, Sentry’s Terms of Use and the SaaS Terms and Conditions. Homeowner Users shall not transfer the Right to Access and Use to any other person or user. The term of the Right to Access and Use shall commence upon the acceptance of the EULA by the Homeowner User and shall extend for the duration of the Homeowner User’s authorized use of the Portal in accordance with this EULA and instructions of any applicable third party. Sentry may suspend or terminate the Homeowner User’s Right to Access and Use at any time and for any reason, without notice to the Homeowner User. The Right to Access and Use shall automatically terminate, without notice to the Homeowner User, if the Homeowner User fails to comply with any of the terms and conditions of this EULA or the Homeowner User ceases the relationship, agreement or role under which the Homeowner User is granted access to the Portal. Upon termination of the Right to Access and Use, the Homeowner User shall immediately cease all access and use of the Portal.

d)       Right to Access and Use by Employee Users. An Employee User shall use the Portal for the purposes for which such Employee Users have been instructed and authorized by Sentry and shall not transfer the Right to Access and Use to any other person or user. Employee Users shall be responsible for complying with the terms and conditions of this EULA, Sentry’s Privacy Policy, Sentry’s Terms of Use and the SaaS Terms and Conditions. The term of the Right to Access and Use shall commence upon the acceptance of the EULA and shall extend for the duration of the Employee User’s authorized use of the Portal in accordance with this EULA and the terms and conditions of any Sentry employee handbook, policies or other applicable employment agreements unless otherwise terminated. Sentry may suspend or terminate the Employee User’s Right to Access and Use at any time and for any reason, without notice to the Employee User. The Right to Access and Use shall automatically terminate, without notice to the Employee User, if the Employee User fails to comply with any of the terms and conditions of this EULA or Sentry’s employment policies or upon the termination of employment that enables the Employee User’s access to the Portal. Upon termination of the Right to Access and Use, the Employee User shall immediately cease all access and use of the Portal.

e)        Right to Access and Use by Vendor Users. Vendor Users shall use the Portal solely for the purposes for which such Vendor Users have been instructed and authorized by Sentry, Association Client or other individual or entity authorized to request such Vendor User to utilize the Portal. Vendor Users shall be responsible for complying with the terms and conditions of this EULA, Sentry’s Privacy Policy, Sentry’s Terms of Use and the SaaS Terms and Conditions. Vendor Users shall not transfer the Right to Access and Use to any other person or user. The term of the Right to Access and Use shall commence upon the acceptance of the EULA by the Vendor User and shall extend for the duration of the Vendor User’s authorized use of the Portal in accordance with this EULA and instructions of any applicable third party. Sentry may suspend or terminate the Vendor User’s Right to Access and Use at any time and for any reason, without notice to the Vendor User. The Right to Access and Use shall automatically terminate, without notice to the Vendor User, if the Vendor User fails to comply with any of the terms and conditions of this EULA, Vendor’s authorization is revoked, or the Vendor User ceases the relationship, agreement or role under which the Vendor User is granted access to the Portal. Upon termination of the Right to Access and Use, the Vendor User shall immediately cease all access and use of the Portal.

f)       Username and Password. End user is solely responsible for maintaining the confidentiality and use of end user’s username and password. End User shall immediately notify Sentry by e-mail of any actual or suspected access to or use of End User’s username, password and/or End User account by any unauthorized party or any other actual or potential security breach involving a username, password or End User’s account. Sentry may, in Sentry’s sole discretion and at any time, require End User to change their username or password.

3)  Restrictions.  End User shall not undertake any of the following:

a)   upload, post, e-mail, transmit, or otherwise make available on or through the Portal any content that: (i) is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable; (ii) is false, inaccurate, incomplete, untimely, or misleading; (iii) infringes any patent, trademark, trade secret, copyright, or other intellectual property or privacy or proprietary rights of any person or entity; (iv) End User does not have or possess a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements); or (v) contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment or to otherwise interact with the Portal in a manner not permitted by this EULA or expressly authorized by Sentry;

b)   forge headers or otherwise manipulate identifiers in order to disguise the origin of any content transmitted through the Portal;

c)   impersonate any person or entity, including, but not limited to, a Sentry representative or forum leader, or falsely state or otherwise misrepresent your affiliation with a person or entity;

d)   download, install, copy, store, access, or use the Portal, except as specifically set forth in this EULA, including, without limitation, downloading, installing, copying, storing, accessing, or using the Portal on tablet or other mobile device other than on such End User Device designated by End User;

e)   decrypt, disassemble, reverse engineer, or otherwise attempt to discover any source code or algorithm for the Portal;

f)   adapt, alter, merge, modify, or translate the Portal or any Materials without the express written consent of Sentry;

g)   interfere with or disrupt the Portal or servers or networks connected to the Portal, interfere with the use of or access to the Portal by others, or disobey any requirements, procedures, policies, or regulations of networks connected to the Portal;

h)   attempt to gain unauthorized access to or use of any part of the Portal or any account, computer system, or network associated with either the Portal or the Sentry, or any other customer or supplier of Sentry;

i)   remove or modify any proprietary or legal markings, legends, notices, or restrictions included in or with the Portal or Materials as originally provided or made available by Sentry;

j)   create derivative works based upon, or otherwise improve or extend features or functionalities of, the Portal or Materials;

k)   use, develop, distribute, or aid others in developing any Portal or software which is functionally similar to any part of the Portal, and/or which infringes any intellectual property rights of Sentry or any customer or supplier of Sentry;

l)   assign, lease, lend, rent, resell, sublicense or otherwise transfer any right related to the Portal or use the Portal for timesharing or Portal bureau purposes;

m)   allow a third party to access or use the Portal or share access to the Portal with an unauthorized person or entity;

n)   use or access the Portal or Materials to infringe or violate the rights of any other party or contribute to or encourage infringing or otherwise unlawful conduct;

o)   use or access the Portal or Materials for any purposes prohibited by applicable law; or

p)   export or re-export the Portal (i) into any U.S.-embargoed country, or (ii) to any person or entity on the U.S. Treasury Department’s Specially Designated Nationals List or the U.S. Department of Commerce Denied Persons List or Entity List.

4)  Intellectual Property Rights.  THE PORTAL IS PROTECTED BY COPYRIGHT, TRADEMARK, PATENT AND OTHER APPLICABLE INTELLECTUAL PROPERTY LAWS. Nothing in this Agreement creates for End User any right of ownership in or to the Portal. Except for the limited rights to access and use the Portal expressly granted to End User in this EULA, Sentry and third party licensors retain and reserve all rights relating to the Portal and Materials, including all related Intellectual Property. Sentry and its third party licensors retain all title and all ownership rights to the Portal and Materials including all Intellectual Property and all rights to access or use the Portal and Materials. From time to time, End User may provide feedback to Sentry regarding the Portal, including, without limitation, usability, bug reports, and test results (“Feedback“). Sentry will own all intellectual property rights, title, and interest in and to the Feedback.

5)  Access and Use of Materials.

a)   Materials. . Depending on the role of a user or type of account that End Users register for, and/or the types of Services being accessed or utilized by a user, or are authorized for use or access by a user, a user may have access to various types of content, materials and tools through the Portal, including but not limited to, Third-party Materials, Association Materials, and/or Sentry-owned Content and Materials as such terms are individually defined below (collectively referred to herein as “Materials”).

b)    Association Materials. The Portal contains materials provided by or related to Association Clients of Sentry and the End Users, individuals, communities, associations and other organizations that the Association Clients control and/or manage, such as, but not limited to, board meeting agendas, meeting minutes, board resolutions, and other records (“Association Materials”). Association Clients are responsible for providing certain of the Association Materials to Sentry during the initial account set-up process of the Association account. Association Materials may be made available to certain End Users depending on the type of User access provided and authorized. For instance, Board Member Users may have access to certain financial documents through the Board Room CommunityPro® Portal that Homeowner Users will not have access to in the homeowner CommunityPro® Portal.

i)    Permitted Use of Association Materials. End Users shall have the right to access and use these Association Materials solely for access and use in connection with their registered End User role, in accordance with their fiduciary duties (when applicable) and for business and institutional purposes of the Association. These Association Materials may not be sold, licensed, leased or used to create derivative works except as expressly permitted in writing by Sentry.  Board Member Users, Community Web Admin Users and certain Vendor Users acknowledge that they may be provided access to certain Association Materials that contain PII, Personal Information and financial information of Association Clients and Homeowner Users. Board Member Users, Community Web Admin Users and Vendor Users shall only be permitted to use such information as necessary to carry out their professional duties and assignments and at all times in accordance with their fiduciary duties, and any applicable Authorization Forms.

c)   Third-party Materials. The Portal contains certain materials provided by outside third-parties and vendors which are made available for access or download by authorized End Users, such as, but not limited to, HOA Bylaws and Condominium restrictive covenants (“Third-party Materials”).

i)   Permitted Use of Third-Party Materials. End Users shall have the right to use these Third-party Materials solely for the limited access and use in connection with their registered End User role and for business and institutional purposes. These Third-party Materials may not be sold, licensed, leased or used to create derivative works except as expressly permitted in writing by Sentry.

d)   Sentry-owned Content and Materials. The Portal contains certain materials and content developed by Sentry that are available for access, use and download by authorized End Users including, but not limited to, board education and training materials, and other documents related to certain Associations (“Sentry-owned Content and Materials”) available for use by users in connection with their registered End User role, and personal, business and institutional purposes.

i)   Permitted Use of Sentry-Owned Content and Materials. Community Web Admin Users, Board Member Users and certain Vendor Users shall have access to additional Sentry-owned Content and Materials that may be accessed and used by Web Admins Users,  Board Member Users and certain Vendor Users for carrying out their registered End User role and for business and institutional purposes only, and in accordance with any applicable Authorization Forms.

6)  Data. 

a)   User Data and Information.  As between Sentry and the Association Users or the Association through which the Association Users has been granted and provided access to the Portal, Association will own the data which is uploaded to or otherwise provided through the Portal by any Association User, including but not limited to all User Data and Information as that term is defined in Sentry’s Privacy Policy available at SENTRY MANAGEMENT, INC. PRIVACY POLICY – HOA Management Company (sentrymgt.com). Association Users are solely responsible for ensuring the accuracy, completeness and timeliness of all User Data and Information and other information uploaded by Association Users onto the Portal. Association User hereby grants Sentry a worldwide, right and license to access, use, store and transmit the User Data and Information to provide the Portal and services related thereto and to create de-identified and aggregated data created by Sentry from Association User’s use of the Portal (“Aggregated Data”). Association User acknowledges and agrees that: (i) Sentry owns the Aggregated Data; and (ii) End User does not own or have any right to the Aggregated Data.

b)   Third Party Data. Sentry is not responsible for any products, data, links, content, or other information provided by third parties (“Third Party Data”) or for any action End User may take relating thereto (including, but not limited to, modifying, distributing, or posting Third Party Data).  All Third-Party Data is the sole responsibility of the creator or sender of that Third Party Data.  Although Sentry may choose to do so, Sentry is not obligated to monitor, supervise, store, or maintain Third-Party Data or respond to complaints relating to Third Party Data.

c)   Compelled Disclosure. If legally permitted, then Sentry may access, use, and disclose any User Data and Information or Third-Party Data in order to protect Sentry’s or its third party provider’s rights or property, to protect other End Users of our Portal, or when Sentry believes release is appropriate to comply with the law, enforce Sentry’s policies and procedures, or protect Sentry’s or others’ rights, property, or safety.

7)   DISCLAIMER OF WARRANTIES.  EXCEPT AS SPECIFICALLY SET FORTH IN THIS EULA, AND TO THE MAXIMUM EXTENT PROVIDED BY LAW, SENTRY DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. EXCEPT AS SPECIFICALLY SET FORTH IN THIS EULA, SENTRY PROVIDES THE PORTAL AND MATERIAL “AS IS” AND “AS-AVAILABLE” AND DOES NOT WARRANT THE UNINTERRUPTED OR ERROR-FREE OPERATION OR USE OF THE PORTAL OR MATERIALS OR THAT ANY SUCH INTERRUPTIONS OR ERRORS WILL BE CORRECTED. END USER ACKNOWLEDGES AND AGREES THAT END USER IS SOLELY RESPONSIBLE TO IMPLEMENT AND MAINTAIN APPROPRIATE SECURITY POLICIES, PROCEDURES, EQUIPMENT AND SOFTWARE, ON AND RELATING TO END USER’S DEVICES, SOFTWARE, EQUIPMENT, AND NETWORK. SENTRY MAKES NO WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED, WITH RESPECT TO ANY ASSOCIATION MATERIALS OR THIRD PARTY MATERIALS, INCLUDING, WITHOUT LIMITATION, ANY ASSOCIATION MATERIALS OR THIRD PARTY MATERIALS, OFFERED THROUGH THE PORTAL OR WHICH END USER USES THE PORTAL TO RECEIVE AND/OR SEND. NO ORAL OR WRITTEN INFORMATION OR ADVICE PROVIDED BY A REPRESENTATIVE OF SENTRY WILL CREATE A WARRANTY, EXPAND A WARRANTY, OR IN ANY WAY LIMIT THE DISCLAIMER OF WARRANTIES SET FORTH IN THIS EULA.

8)   LIMITATION OF LIABILITY.  TO THE MAXIMUM EXTENT PROVIDED BY LAW, SENTRY WILL NOT BE LIABLE TO END USER OR ANY THIRD PARTY FOR ANY SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (WHETHER BASED UPON BREACH OF WARRANTY, BREACH OF CONTRACT, NEGLIGENCE, TORT, OR ANY OTHER LEGAL THEORY), INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, LOSS OF DATA, LOSS OF CONFIDENTIAL OR OTHER INFORMATION, BUSINESS INTERRUPTION, PERSONAL INJURY, OR LOSS OF PRIVACY, ARISING OUT OF OR RELATED TO THE PORTAL OR OTHERWISE RELATED TO THIS EULA, WHETHER OR NOT SENTRY IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. END USER ACKNOWLEDGES AND AGREES THAT SENTRY’S AGGREGATE LIABILITY TO END USER OR ANY THIRD PARTY ARISING OUT OF OR RELATED TO THE PORTAL OR OTHERWISE RELATED TO THIS EULA WILL NOT EXCEED THE FEES PAID, BY END USER TO SENTRY DURING THE SIX (6) MONTH PERIOD IMMEDIATELY PROCEEDING THE EVENTS GIVING RISE TO THE CLAIM.

9)  Indemnity.  End User shall indemnify, defend and hold Sentry and Sentry’s customers harmless from and against any and all liabilities, losses, damages, costs and expenses (including reasonable legal fees and expenses) arising from or in connection with End User’s acts, omission, negligence, gross negligence, willful acts or breach or failure to comply with any term or conditions of this EULA, or any applicable Authorization Form.

10)  Confidentiality.

a)   End User acknowledges that by reason of the relationship created by this EULA, End User may have access to certain non-public information of substantial value concerning Sentry’s business operations and/or technology and/or the business operations and/or technology of Sentry’s customers, other End Users and Association Clients (“Confidential Information”), which value would be impaired if such Confidential  Information were disclosed to third parties or used other than for purposes expressly authorized hereunder. Without limiting the foregoing, but for avoidance of doubt, the terms of this EULA, and any performance, warranty and like information relating to the Portal (by whomsoever generated or communicated) will be considered the Confidential Information of Sentry or Sentry’s customers, other End Users or Association Clients, as applicable. End User agrees: (i) to maintain all Confidential Information, in whatever form disclosed, in strict confidence; (ii) not to disclose or otherwise make available such Confidential Information to any third party without the prior written consent of Sentry, Sentry’s customers, other End Users or Association Clients, as applicable; (iii) not to use the Confidential Information except as required in the performance of End User’s obligations or the exercise of End User’s rights under this EULA; and (iv) not to use the Confidential Information as a basis on which to develop or have a third party develop a competing or similar product, plan or undertaking.

b)   Upon the written request of Sentry, Sentry’s customers, other End Users or Association Clients, as applicable, or upon any expiration or termination of this EULA, for any reason whatsoever, End User shall immediately return to Sentry, Sentry’s customers, other End Users or Association Clients, as applicable, or destroy all copies and partial copies of the Confidential Information, whether maintained in tangible, electronic or other form (including permanently erasing any portions thereof from computers and systems). End User acknowledges that any breach of any of End User’s obligations with respect to Confidential Information may cause or threaten irreparable harm to Sentry, Sentry’s customers, other End Users or Association Clients, as applicable. End User agrees, that in such event, Sentry, Sentry’s customers, other End Users or Association Clients, as applicable, shall be entitled to seek equitable relief in any court of competent jurisdiction without the necessity of posting bond and in addition to such other remedies as may be available to Sentry, Sentry’s customers, other End Users or Association Clients, as applicable, under law or in equity.

11)   General.  This EULA, Sentry’s Privacy Policy and Terms of Use available at SENTRY MANAGEMENT, INC. PRIVACY POLICY – HOA Management Company (sentrymgt.com) and SENTRY MANAGEMENT, INC. TERMS OF USE – HOA Management Company (sentrymgt.com) and Sentry’s CommunityPro® Portal SaaS Terms and Conditions available at COMMUNITYPRO PORTAL SOFTWARE AS A SERVICE TERMS AND CONDITIONS – HOA Management Company (sentrymgt.com) represent the entire agreement between End User and Sentry and supersede any prior or contemporaneous understandings or written or oral agreements between Sentry and End User with respect to the subject matter of this EULA, except that, Association Users shall be further governed by the applicable terms and conditions of the Management Agreement entered into by and between Sentry and the Association Client and any applicable Authorization Forms. This EULA may only be modified by a document executed by an authorized representative of Sentry. No other person is authorized to make any modifications, extensions, or additions to this EULA. End User shall not assign this EULA or any right or obligation pursuant to this EULA without the prior, written consent of Sentry, which consent may be withheld at the sole discretion of Sentry. No waiver of a breach of this EULA by either party shall be construed as a waiver of a similar or any other provision of this EULA. The invalidity or unenforceability of any provision of this EULA shall not affect the validity or enforceability of the remaining EULA or any other provision of this EULA. All of the terms and conditions of this EULA shall survive the earlier of the expiration or termination of this EULA.

12)  Injunctive Relief. End User acknowledges that a breach of the confidentiality and intellectual property agreements and obligations contained in this EULA, may cause Sentry continuing and irreparable injury, which may not be adequately compensated by monetary damages.  End User, therefore, agrees that in the event of an actual or threatened breach of such terms, Sentry shall be entitled to seek, in addition to any other remedies available to it, a temporary restraining order and preliminary and final injunctive relief against End User to prevent any violations of this EULA, without the necessity of posting a bond or other security.

13)  Governing Law, Venue and Jurisdiction. This EULA is governed by, and construed in accordance with, the laws of the State of Florida (without giving effect to principles of conflicts of laws). The exclusive jurisdiction and venue for any dispute, controversy or claim arising out of or in connection with this EULA shall be the state and federal courts in and for Seminole County, Florida, and End User and Sentry waive any right to object to such jurisdiction and venue for any reason including, without limitation, forum non conveniens.
